Welcome to Zowrk. These Terms of Service (“Terms”) form a binding agreement between you and Zowrk Industries Ltd (“Zowrk,” “we,” “us,” or “our”), a company registered at 2261 Market Street #5039, San Francisco, CA 94115. By creating an account, accessing or using our website, dashboard, APIs, or any related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility & account
You must be at least 18 years old, or the age of majority in your jurisdiction, to use Zowrk. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us at hello@zowrk.com immediately if you suspect unauthorized access.
2. The Services
Zowrk provides tools that help creators, freelancers, and small businesses sell digital products, send invoices, manage clients, accept payments, and run a public profile. We may add, remove, or change features from time to time. We will give reasonable notice for changes that materially reduce functionality you rely on.
3. Your content
You retain all ownership and rights to the content you upload, sell, or share through Zowrk (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, and adapt Your Content solely as necessary to operate, improve, and secure the Services and to deliver Your Content to your customers.
You represent that you own or have the rights to all of Your Content and that it does not infringe any third party's rights or violate any law.
4. Acceptable use
You agree not to use Zowrk to:
- Sell or distribute illegal goods, stolen content, malware, or sexual content involving minors.
- Engage in fraud, money laundering, or violation of sanctions or export controls.
- Send spam, phishing, or unsolicited bulk communications.
- Reverse engineer, decompile, or attempt to extract source code, except where permitted by law.
- Probe, scan, or load-test the Services without prior written consent.
- Use the Services to build a directly competing product.
We may suspend or terminate accounts that violate these rules.
5. Payments & payouts
Payments on Zowrk are processed by third-party providers (currently Paystack and similar providers we may integrate). By accepting payments through Zowrk, you also agree to the terms of those providers. You are responsible for the accuracy of payout details, for all taxes on your earnings, and for refunds or chargebacks initiated against your sales.
We may charge transaction fees, subscription fees, or other charges, which will be disclosed on our pricing page or in your dashboard before they apply.
6. Refunds & chargebacks
Refund policies for products you sell are set by you, but you must clearly disclose them to your customers. Zowrk may withhold or claw back funds in connection with chargebacks, fraud investigations, or violations of these Terms.
7. Free plans & trials
Some features may be offered free or as part of a trial. We may change pricing, end trials, or introduce limits with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing.
8. Intellectual property
Zowrk, the Zowrk logo, and the Services are owned by Zowrk Industries Ltd and protected by intellectual-property laws. We grant you a limited, non-transferable, revocable licence to use the Services in accordance with these Terms. No rights are granted by implication.
9. Third-party services
The Services integrate with third parties such as payment processors, email providers, and analytics tools. Zowrk is not responsible for those services and does not endorse them. Your use of them is governed by their own terms.
10. Termination
You may close your account at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or if continuing the Services to you would harm Zowrk or other users. We will, where reasonably possible, give you a chance to export Your Content before deletion.
11. Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or free of errors.
12. Limitation of liability
To the maximum extent permitted by law, Zowrk and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) USD 100.
13. Indemnity
You will indemnify and hold harmless Zowrk from any claim, demand, liability, or cost (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third-party right.
14. Governing law & disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their exclusive jurisdiction. If you are based in Nigeria or another jurisdiction with mandatory consumer-protection laws, those laws still apply where required.
15. Changes
We may update these Terms. If changes are material, we will notify you by email or in the dashboard. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
